01Acceptance of these terms
These Terms of Use (“Terms”) are an agreement between you and Medisuperior (“Medisuperior”) governing your access to and use of the Service. By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a clinic, hospital or pharmacy, you confirm you have authority to bind that organisation.
02The Service
Medisuperior provides software for managing clinical, laboratory, pharmacy, in-patient, billing and reporting workflows, available on the web and mobile. We may add, change or remove features over time to improve the Service.
03Accounts and eligibility
You must be at least 18 years old and legally capable of entering into a contract. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use. You are responsible for the accounts and permissions you grant to your staff.
04Subscription, fees and billing
Paid plans are billed yearly or monthly as selected, plus a one-time onboarding fee where applicable. Fees are exclusive of taxes unless stated. Subscriptions renew automatically unless cancelled before the renewal date. Refunds, where offered, are governed by our Refund & Cancellation Policy. We may change pricing with reasonable advance notice; changes apply from your next billing cycle.
05Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Use the Service unlawfully or for any unlawful purpose.
- Attempt to gain unauthorised access to systems or data.
- Reverse-engineer, resell or copy the Service except as permitted by law.
- Upload malicious code or interfere with the Service’s operation.
- Enter data you have no right to use, or violate the privacy rights of patients or others.
06Your data
You retain ownership of the data you and your staff enter (“Your Data”). You grant us a limited licence to host and process Your Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Your Data and for any consents required from patients.
07Clinical responsibility
08Intellectual property
The Service, including its software, design, trademarks and content (excluding Your Data), is owned by Medisuperior and protected by law. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not use our branding without permission.
09Third-party services
The Service may integrate with third-party services such as payment gateways, sign-in providers and messaging tools. Your use of those services is subject to their own terms and policies, and we are not responsible for them.
10Warranties and disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
11Limitation of liability
To the maximum extent permitted by law, Medisuperior will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, data or goodwill. Our total liability for any claim relating to the Service will not exceed the fees you paid for the Service in the twelve months before the claim.
12Suspension and termination
You may cancel at any time as described in the Refund & Cancellation Policy. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm or legal liability. On termination, your right to use the Service ends; we will make Your Data available for export for a limited period where reasonably possible.
13Changes to these terms
We may update these Terms from time to time. Material changes will be notified by updating the “Last updated” date and, where appropriate, by direct notice. Continued use after changes take effect constitutes acceptance.
